Bursa directed Zetrix AI to address 2025 dividend non-payment, disclose material information

KUALA LUMPUR: Bursa Malaysia has directed Zetrix AI Bhd to address the non-payment of its 2025 final dividend by Nov 23, and disclose material information by Nov 11, to address several issues.

This includes outstanding remittances to the Road Transport Department (RTD) and payment demands from the RTD and Inland Revenue Board (LHDN).

Other concerns include the resignation of all independent directors and external auditors, the issuance of shares under the Employees’ Share Option Scheme, and the financial and operational impact of the suspension of Zetrix AI and its subsidiary as collection agents for the RTD.

The regulator said it viewed recent developments at Zetrix AI with serious concern, particularly the non-payment of its 2025 final dividend and the withdrawal of its declared 2026 interim dividend.

Bursa Malaysia said the directives were issued under Paragraph 2.23 of the Main Market Listing Requirements to safeguard investor interests and ensure the timely disclosure of material information.

“Bursa Malaysia takes compliance with its listing requirements seriously. Listed issuers are expected to uphold high standards of corporate governance, transparency and accountability at all times,” it said.

The capital market regulator said it must thoroughly examine all relevant facts and circumstances, assess evidence of any potential breach and comply with applicable procedures before taking enforcement action.

Bursa Malaysia reaffirmed its commitment to safeguarding market integrity, strengthening corporate governance and transparency, and sustaining investor confidence through a fair and orderly marketplace.
